Badass Women in Business Podcast Sponsorship Terms and Conditions

These Badass Women in Business Podcast Terms and Conditions (“Terms & Conditions”) are between Badass Women in Business Podcast (the “Podcast”) and the person, company, or entity (“Company”) engaging the Podcast by placing an order (“Order”) for sponsorship services from the Podcast. The Podcast and Company are collectively referred to herein as the “Parties,” and individually as a “Party.” These Terms & Conditions combined with the Order (collectively the “Agreement”) are deemed effective upon the Podcast emailing a copy of the executed Order and Terms & Conditions to the Company (the “Effective Date”).

Scope of Services:

The Podcast will provide sponsorship opportunities, including promotional mentions, ad placements, and related services as outlined in the Agreement. The Podcast does not guarantee the achievement of any specific business goals or outcomes as a result of the sponsorship.

Fees:

The Company will pay the Podcast the fees outlined in the Agreement. Payment is due on a monthly basis and will be automatically drawn from the Company’s credit card or directly debited from the Company’s bank account using the credit card or ACH information provided by the Company. The Podcast may issue invoices for fees due under this Agreement, and each invoice is due upon receipt.

Expenses:

Any expenses incurred by the Podcast while providing sponsorship services under this Agreement, such as production or distribution expenses, will be reimbursed by the Company. All expenses must be pre-approved by the Company before they are incurred.

Term:

The length of this Agreement will be determined based on the specific sponsorship arrangement agreed upon by the Parties and will be outlined in the individual sponsorship agreement. The term may vary depending on the services provided and the duration agreed upon. For monthly sponsorship subscriptions, the term will be month to month and will auto-renew on a monthly basis until either Party sends the other Party a notice of non-renewal thirty days prior to expiration.

Termination and Cancellation:

Either Party may terminate this Agreement upon material breach of this Agreement by the other Party with thirty days’ prior written notice to the other Party. If the Company terminates this Agreement or if the Podcast terminates this Agreement due to the Company’s breach, prior to the expiration of the term, the Company is required to pay the Podcast fifty percent of the remaining amounts that would have been owed for the duration of the term had the Agreement not been terminated.

Confidentiality:

Both Parties agree to keep all information exchanged during the course of the sponsorship confidential and not to disclose it to any third party without the other Party’s express written consent, except as required by law.

Intellectual Property:

The Podcast retains ownership of all intellectual property, including any promotional materials, content, and branding elements provided during the sponsorship.

Dispute Resolution:

Any disputes arising under this Agreement will be resolved through mediation or arbitration in accordance with the rules of the American Arbitration Association.

Governing Law:

This Agreement will be governed by and construed in accordance with the laws of the state where the Podcast is located.

Entire Agreement:

This Agreement, including any attached exhibits or schedules, represents the entire understanding between the Parties and supersedes all prior discussions and agreements between them.

By accepting the sponsorship agreement, both Parties acknowledge that they have read, understood, and agreed to these Terms and Conditions.
